Terms of Use

1.This agreement

In short Using bondai means accepting these terms. If you do not, do not use it.

These Terms of Use are an agreement between you and Black Tee Labs Pty Ltd (ABN 41 680 736 127), an Australian company (“bondai”, “we”, “us”). They cover the bondai mobile apps, the web platform, the public business card pages and everything else we offer under the bondai name.

By creating an account or using bondai, you accept these terms and our Privacy Policy, which forms part of them. If you are agreeing on behalf of an organisation, you confirm you have the authority to bind it.

2.Your account

In short One person, one account, accurate details, your responsibility to keep it secure.

You must be at least 16 to use bondai. Your account is personal to you. Keep your credentials secure, and tell us promptly at info@bondai.app if you think someone else has access to it. You are responsible for activity under your account.

The details you give us must be accurate, and you must keep them current.

3.Plans and what they include

In short Free is free forever. Essential and Pro are subscriptions that open with a 14 day trial. Enterprise is a separate written agreement.

• Free: your digital business card, a public profile people can save, up to 30 contacts each as their own card, and a full export at any time. No card required, no expiry.
• Essential: the full app: unlimited contacts, researched bios, meeting prep and suggested topics, messages drafted in your voice, job change and news alerts, voice notes that become actions and reminders.
• Pro: everything in Essential, plus the web platform and dashboards, and email and calendar sync.
• Enterprise: organisation-wide deployment, administration and integrations, under a separate written agreement which prevails over these terms where they conflict.

The contact limit on Free is set in the app and may change; if we reduce it, we will not delete contacts you have already added. Current prices are shown in the app and on our pricing page in your local currency.

Unlimited means unlimited for a person using bondai. It is subject to our fair use policy, which sets a ceiling that ordinary use does not reach and exists to stop automated activity running up costs. Nothing you have saved is ever removed because of it.

4.Billing, renewal and cancellation

In short Subscriptions auto-renew until you cancel. Cancel at least 24 hours before the period ends, in the store you bought it from.

Trials. Paid plans open with a 14 day free trial unless stated otherwise. If you do not cancel before the trial ends, it converts to a paid subscription and the first payment is taken. You can cancel during the trial and pay nothing.

Renewal. Subscriptions renew automatically for the same period, monthly or annual, until cancelled. Payment is taken within 24 hours of the period ending.

Cancelling. Cancel at least 24 hours before the current period ends, or you will be charged for the next one. Where you cancel depends on where you bought it:

• iPhone or iPad: Settings, your Apple Account, then Subscriptions.
• Android: the Google Play Store, then Subscriptions.
• Web: from your account in the bondai web platform.

We cannot cancel an App Store or Google Play subscription for you; only the store can, because only the store holds the billing relationship.

After cancelling you keep the paid plan until the end of the period you have already paid for. Then you move to Free rather than being locked out. Your card and your contacts stay. Notes, actions and opportunities beyond the Free plan are retained but not displayed, and you can export everything at any time.

Price changes. We may change prices. We will give you notice before a change affects a renewal, and you can cancel before it takes effect.

5.Refunds and your consumer rights

In short Store purchases are refunded by the store. Nothing here limits the rights you have under Australian Consumer Law.

Purchases made through the App Store or Google Play are subject to those stores' refund policies, and refund requests go to Apple or Google. For subscriptions bought on the web, contact us at info@bondai.app.

If you are in Australia, our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and to compensation for any other reasonably foreseeable loss or damage. Nothing in these terms excludes, restricts or modifies those rights. Similar non-excludable rights may apply where you live.

6.Your content stays yours

In short You own what you put in. We get only the permission needed to run the service for you.

Your contacts, notes, actions, plans and everything else you add remain yours. You grant us a limited, non-exclusive licence to host, store, transmit and process that content solely to provide bondai to you, including sending the relevant parts to our AI providers to generate the suggestions you have asked for.

We do not use your content to train AI models, and neither do our AI providers. We do not sell your content, and we do not use it to advertise to you or anyone else.

You can export everything you have added, at any time, on any plan including Free.

7.Information about other people

In short Most of what you store is about someone else. You are responsible for what you record about them.

bondai exists to help you remember people, so you will be storing information about people who have not signed up and have not agreed to these terms. You are responsible for ensuring you have the right to record what you record, and for keeping it accurate, relevant and lawful where you are.

Do not use bondai to build dossiers, to record special-category information about people, or for any purpose a reasonable person in that relationship would find inappropriate. Anyone can ask us to remove information held about them, see the Privacy Policy.

8.AI suggestions

In short Suggestions are a starting point, not advice and not fact. You are responsible for what you send.

bondai uses third-party AI models to generate suggested topics, drafted messages, summaries and transcriptions. AI output can be wrong, out of date, or subtly mistaken about a person. It is generated from what you have recorded and from limited public information, and it is not verified.

Suggestions are not professional, legal, financial or medical advice. You must read, judge and edit anything before you act on it or send it, and you are solely responsible for the consequences of what you send. Do not rely on bondai for decisions where being wrong would matter.

We do not warrant that suggestions will be accurate, appropriate, or free of bias, and AI features may change, degrade or be withdrawn as providers change their services.

9.Messaging channels

In short bondai never transmits anything on your behalf. You press send, in your own app.

When you choose a channel, bondai prepares the message and opens that app. It does not connect to your messaging accounts and has no ability to send on your behalf. Anything you then send is sent by you, under your own account, subject to that provider's terms.

You are responsible for complying with the rules of the platforms you use, and with anti-spam law including the Spam Act 2003 (Cth) where it applies to you.

10.Acceptable use

In short Do not use bondai to harass, deceive, spam, break the law, or break the service.

You must not:

• Use bondai for bulk unsolicited messaging, spam, or harassment.
• Record information about a person for a purpose they would find abusive or deceptive.
• Break the law, infringe anyone's rights, or breach a duty of confidence you owe.
• Reverse engineer, scrape, or attempt to extract our source code or models.
• Probe, overload, or interfere with the service or its security.
• Resell or sublicense bondai, or share one account between several people.
• Use bondai to build a competing product.
• Collect or resell contact data, rather than manage relationships you have.
• Work around our fair use limits, by spreading the same activity across several accounts or by automating sign-ups.

11.Our intellectual property

In short The product is ours. Your licence to use it is limited and revocable.

bondai, its software, design, and the bondai name and logo are owned by Black Tee Labs Pty Ltd and protected by intellectual property law. We grant you a limited, personal, non-transferable, revocable licence to use bondai in accordance with these terms and your plan. Nothing else is granted.

If you send us feedback or suggestions, we may use them without obligation or payment to you. That does not give us any right to your content.

12.Availability and changes

In short We are an early-stage product. Things will change, and we do not promise uninterrupted service.

bondai is provided on an “as is” and “as available” basis. We do not guarantee it will be uninterrupted, error-free, or that any particular feature will always exist. We may add, change or remove features, and we may suspend the service for maintenance.

If we make a change that materially reduces what your paid plan includes, we will tell you, and you may cancel and receive a pro-rata refund of the unused portion of the period you have paid for.

We may update these terms. If a change is material we will give you notice before it takes effect. Continuing to use bondai after that means you accept the updated terms.

13.Ending this agreement

In short You can leave at any time. We can suspend an account that breaks these terms.

You may stop using bondai and delete your account at any time, from inside the app or at bondai.app/delete-account.

We may suspend or terminate your account if you materially breach these terms, if we are required to by law, or if your use puts the service or other users at risk. Where it is reasonable to do so, we will warn you first and give you a chance to put it right. If we terminate without cause, we will refund the unused portion of any period you have paid for.

On termination, your right to use bondai ends. Export your data before you delete your account, deletion is not reversible.

14.Liability

In short Our liability is limited, but not for things the law does not let us limit.

To the extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill, business opportunity, or data, including loss arising from a relationship, an opportunity, or a message you sent based on a suggestion.

To the extent permitted by law, our total liability arising out of or relating to bondai in any twelve month period is limited to the greater of the amount you paid us in that period, or A$100.

Nothing in this section excludes or limits liability that cannot be excluded or limited by law, including under the Australian Consumer Law, or liability for fraud, death or personal injury caused by negligence. Where our liability under a consumer guarantee cannot be excluded but can be limited, it is limited to resupplying the service or paying the cost of resupply.

15.Governing law

In short New South Wales, Australia.

These terms are governed by the laws of New South Wales, Australia, and you and we submit to the non-exclusive jurisdiction of its courts. If you are a consumer, this does not deprive you of the protection of the mandatory law of the country where you live.

If any part of these terms is found unenforceable, the rest continues to apply. Our not enforcing a term is not a waiver of it.
